Terms of Service

These Terms govern access to vuzz.ai, the Vuzz application and related services (together, the “Service”).

The Service is operated by ROI PERFORMANCE LLC, with a business address at 13727 SW 152 Street #848, Miami, FL 33177, United States (“Vuzz,” “we,” “us”).

By creating an account or using the Service, you agree to these Terms for yourself and, where applicable, for the business you represent.

1. Professional use

Vuzz is intended for businesses, agencies, freelancers and other users acting for professional purposes. You must be at least 18 years old and have authority to bind the organization for which you use the Service.

You must provide accurate information, protect your login credentials and promptly contact support@vuzz.ai if you suspect unauthorized access.

2. The Service

Vuzz may allow you to:

  • configure a brand and Brand Book;
  • analyze publicly available competitor, trend or content information;
  • prepare ideas, scripts, captions and content calendars;
  • generate or edit images, audio, video and other content;
  • organize projects, assets and approvals;
  • export, schedule or publish content through third-party services.

Available features depend on your plan, country, enabled integrations and provider availability. A feature described as beta, experimental or planned is not guaranteed.

3. Free account and premium actions

Creating a Vuzz account is free and does not require a payment card.

Before paying, you may explore the interface, add your brand, upload certain materials, browse templates and prepare a project.

Some actions require a paid trial, subscription or Credits. Examples may include generating a full Brand Book, analysis, image or video, and exporting, scheduling or publishing content.

The interface will identify a paid action before it starts.

4. Seven-day €1 trial

Where offered, you may activate a seven-day trial for €1 when you initiate your first premium action.

The trial does not start when you merely create an account. It begins only after:

  1. the regular plan price and next billing date have been displayed;
  2. you enter or confirm your payment method; and
  3. you expressly authorize the €1 charge and automatic renewal.

Unless you cancel before the date shown at checkout, the subscription automatically renews at the price and billing interval disclosed before confirmation.

The trial includes the amount of Credits displayed in the interface. It is not an unlimited-generation offer.

We may limit one trial per person, company, payment method or workspace and may refuse or end trial access in case of abuse, duplicate accounts or circumvention.

5. Subscriptions, billing and taxes

Plan features, prices, Credits, brand limits and seat limits are shown on the Pricing page and at checkout. If there is a conflict, the final checkout summary controls.

Payments are processed by Stripe, LLC. Payment is processed through secure Stripe components: Vuzz does not store your full card number or security code.

You authorize Vuzz and Stripe to charge the stored payment method for amounts due, renewals and additional purchases that you confirm.

Applicable taxes may be added or included depending on your location and billing information. You are responsible for accurate billing and tax details.

If payment fails, we may retry the charge, limit features or suspend the account after notice.

6. Cancellation and refunds

You may stop renewal from your account settings or by contacting support@vuzz.ai.

Cancellation normally takes effect at the end of the paid period. It does not automatically delete your account or projects.

Payments are non-refundable except where required by law or where we confirm a billing error, duplicate charge or material technical failure directly attributable to Vuzz.

Please contact us promptly, preferably within fourteen days of the disputed charge.

7. Credits

Some features consume usage units called “Credits.” Where technically possible, the estimated cost of an action is shown before it begins.

Credits:

  • have no cash value;
  • may not be resold, transferred or redeemed for money;
  • may expire with the relevant plan or purchased pack;
  • may vary by model, duration, resolution and selected options;
  • do not guarantee that an output will suit your intended purpose.

Subscription Credits expire at the end of the relevant billing period unless the interface expressly states that rollover applies.

If a generation fails solely because of a technical error detected by Vuzz or its provider, Credits may be restored automatically or after review. Subjective dissatisfaction with a successfully generated output does not automatically entitle you to a Credit refund.

8. Your content and permissions

You keep the rights you hold in text, images, video, audio, products, trademarks, files, prompts, scripts and other materials that you submit to the Service (“Customer Content”).

You grant Vuzz a limited, worldwide permission, for as long as reasonably required, to host, reproduce, adapt, transmit and process Customer Content in order to:

  • provide the requested features;
  • send necessary data to relevant providers;
  • secure and maintain the Service; and
  • troubleshoot and provide support.

You represent that you have all necessary rights and permissions concerning:

  • trademarks, logos and products;
  • photographs and video;
  • music and voices;
  • a person’s image, face and voice;
  • data relating to customers, employees, creators or other people; and
  • content retrieved from a website or connected account.

Vuzz will not use private Customer Content in public marketing or case studies without permission.

9. Generated outputs

Subject to your rights in Customer Content, third-party provider terms and applicable law, you may use generated outputs for professional purposes.

You acknowledge that:

  • outputs may contain errors, inconsistencies or variations;
  • similar content may be generated for other users;
  • Vuzz does not guarantee absolute originality or eligibility for trademark or copyright protection; and
  • use may be limited by the terms of a model, platform, avatar, music track or third-party asset.

You must review outputs before use, including text, logos, product details, movement, hands, voices, captions and marketing claims.

10. Synthetic-content transparency

You must disclose that content is generated or manipulated where required by law, platform rules or context.

You may not use Vuzz to falsely suggest that a real person made a statement, used a product or gave a testimonial without consent. Avatars must not be presented as genuine customers when they are not.

Vuzz may add or preserve provenance information, metadata or labels intended to support transparency. You must not remove them in order to mislead or bypass a legal obligation.

11. Prohibited use

You may not use Vuzz to:

  • violate law, intellectual-property rights, publicity rights or privacy rights;
  • impersonate a person or use their face or voice without permission;
  • create fake testimonials, evidence, results or reviews;
  • distribute fraudulent, deceptive, hateful, violent, sexually exploitative or otherwise unlawful content;
  • promote products or services prohibited by law or applicable platform rules;
  • create malware, bypass security or access systems without authorization;
  • send spam or automate publication in violation of platform rules;
  • scrape the Service at scale, resell access or bypass Credits, seats and technical limits; or
  • attempt to identify, copy or reconstruct Vuzz’s protected models, systems or components.

We may block an action, remove content or suspend an account where reasonably necessary to protect Vuzz, users, third parties or the law.

12. Third-party services and connected accounts

Vuzz relies on third parties for services including hosting, payments, authentication, generative models and social publishing.

When you connect a third-party service, you authorize us to send and receive the data required for the requested action. Your use is also governed by that third party’s terms.

We do not control API changes, outages, publication rejections, content removals, geographic restrictions or pricing changes imposed by third parties. We may replace a provider or adjust a feature to maintain the Service.

You are responsible for connected accounts and must have authority to use them.

13. Availability and changes

We aim to provide a reliable Service but do not guarantee uninterrupted operation or any specific result.

We may correct, modify, replace, suspend or remove a feature, including where a provider changes its terms, a legal obligation applies or a security risk arises.

Where a change materially affects a paid plan, we will try to provide reasonable notice.

14. Data processing for your account

Where Vuzz processes personal data contained in your projects solely to provide the Service under your instructions, you generally act as controller and Vuzz as processor.

In that context, Vuzz will:

  • process data under your documented instructions and these Terms;
  • require confidentiality from authorized personnel;
  • maintain reasonable security measures;
  • use technical subprocessors to provide the Service;
  • require appropriate data-protection commitments from those providers;
  • provide reasonable assistance with rights requests and incidents, considering the nature of the Service;
  • delete or return data at the end of the Service through available options, subject to backups and legal retention; and
  • make reasonably necessary compliance information available.

You generally authorize the providers identified in the Privacy Policy or interface. We may change providers, including to follow model development. You may contact us if a new provider creates a legitimate data-protection concern.

International transfers will use applicable safeguards, such as standard contractual clauses or an adequacy mechanism where required.

If your organization requires a separate data processing agreement or special terms, contact support@vuzz.ai before submitting sensitive or regulated information.

15. Security

We use reasonable measures to protect the Service, but no online transmission or storage method is entirely secure.

Do not upload highly sensitive information that is unnecessary for content creation, such as medical records, social security numbers, identity documents, complete financial credentials or data about children.

16. Suspension and termination

You may stop using the Service and delete your account through available options.

We may suspend or terminate access for non-payment, material breach, fraud, abuse, security risk, legal demand or use that may harm the Service or another party.

Where the issue can reasonably be corrected, we will generally seek to allow a cure before permanent termination.

17. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Vuzz does not guarantee:

  • commercial or social-media performance;
  • platform acceptance of content;
  • identical quality across generations;
  • permanent availability of any model or video duration; or
  • legal compliance of content without your review.

18. Limitation of liability

To the fullest extent permitted by law, Vuzz will not be liable for indirect loss, lost profit, revenue, data, reputation, opportunity or advertising spend arising from use of the Service.

Vuzz’s total liability relating to the Service is limited to the fees actually paid by the customer to Vuzz during the six months before the event giving rise to the claim.

This limit does not apply where prohibited by law or to established fraud or willful misconduct by Vuzz.

19. Indemnity

You agree to defend and indemnify Vuzz against third-party claims arising from your Customer Content, campaigns, products, lack of permission or use of the Service in breach of these Terms or law.

20. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.

Subject to mandatory law, disputes will be submitted to the competent courts in Miami-Dade County, Florida.

Before filing a claim, the parties will attempt in good faith to resolve the matter by contacting support@vuzz.ai.

21. Changes to these Terms

We may update these Terms to reflect changes to the Service, providers or law.

For material changes, we may notify you by email, in the application or through a prominent notice. Continued use after the effective date constitutes acceptance of the updated Terms.

22. Language

These Terms may be available in multiple languages. To the extent permitted by law, the English version controls if there is a conflict.
